Terms of
Service.
The legal terms and conditions governing the use of Primyer services.
These Terms govern two distinct things: (A) your use of the primyer.com website, and (B) the terms that apply when you engage Primyer Studio for a project. Part B forms the default baseline for client work; a specific, signed Statement of Work (SOW) or project agreement takes precedence over these Terms wherever the two conflict.
Part A — Website Terms of Use
1. Acceptance
By browsing primyer.com, you agree to these website terms. If you do not agree, please discontinue use of the site.
2. Content Ownership
All text, design, code, and visual content on this website are the property of Primyer Studio unless otherwise credited, and are protected under applicable copyright law. See our Imprint for copyright and liability details specific to site content and external links.
3. Accuracy Disclaimer
Case studies, metrics, and project descriptions on this site are presented in good faith and reflect our understanding at time of publication. We do not guarantee that figures remain current, and nothing on this site constitutes a binding offer or guarantee of specific results for future engagements.
4. Acceptable Use
You agree not to misuse this website — including attempting unauthorized access to our systems, scraping content for reproduction, or using the site to transmit harmful code.
Part B — Client Engagement Terms
These terms apply once a project inquiry becomes an active engagement, unless superseded by a signed SOW.
5. Engagement Structure
Each project is scoped through a written proposal or Statement of Work outlining deliverables, timeline, and pricing. These Terms fill any gaps not addressed in that document.
6. Payment Terms
Unless otherwise agreed in writing: an initial deposit of 50% is due before work begins, with the remainder invoiced per project milestones or upon completion. Invoices are due within 14 days of issue. Late payments accrue interest at the statutory commercial rate applicable under Turkish law, and we reserve the right to pause work on overdue accounts until payment is received.
7. Intellectual Property
Ownership transfers to the client upon receipt of final payment in full. Until final payment clears, all code, designs, and deliverables remain the property of Primyer Studio, and the client is granted a limited license to review and test them, but not to deploy, distribute, or use them in production.
Primyer Studio retains the right to reuse general methodologies, non-client-specific components, internal tooling, and know-how developed during an engagement in future projects, provided no client-confidential or proprietary business logic is disclosed or reused.
8. Client Responsibilities
Timely delivery depends on the client providing requested materials, feedback, and approvals within agreed timeframes. Delays on the client’s side may shift project timelines accordingly.
9. Change Requests
Work outside the agreed scope (new features, significant revisions to approved designs, etc.) is treated as a change order, quoted and agreed separately before work begins.
10. Warranties and Disclaimers
We warrant that delivered work will substantially conform to the agreed specification. We provide a 30-day bug-fix window following delivery for defects in the delivered scope, at no additional cost. Beyond that, software is provided “as is” — we do not guarantee uninterrupted or error-free operation, and make no warranties beyond those explicitly stated here or in the applicable SOW.
11. Limitation of Liability
Our total liability arising from any engagement is capped at the total fees paid by the client for that project. We are not liable for indirect, incidental, or consequential damages, including lost profits or lost data, to the maximum extent permitted by applicable law.
12. Confidentiality
Both parties agree to keep confidential business information, credentials, and proprietary materials shared during an engagement private, and not to disclose them to third parties without consent, except as required by law.
13. Portfolio and Case Study Rights
Unless the client requests otherwise in writing, Primyer Studio may reference the engagement in its portfolio and marketing materials — including the client’s name, logo, project type, and a general, non-sensitive description of the work performed.
This does not extend to confidential information covered under Section 12. Publishing specific financial figures, internal metrics, proprietary business logic, source code, or other confidential material always requires the client’s separate written approval, regardless of this default.
Clients who prefer not to be referenced publicly at all may opt out at any time by notifying us in writing; we will remove or avoid future reference to the engagement accordingly.
14. Termination
Either party may terminate an active engagement with written notice. The client remains responsible for payment of all work completed up to the termination date.
15. Governing Law and Disputes
These Terms, and any engagement governed by them, are subject to the laws of the Republic of Türkiye. Any dispute not resolved informally shall fall under the jurisdiction of the courts of Mersin, Türkiye, unless a specific signed SOW states otherwise.
16. Changes to These Terms
We may update these Terms as our practices evolve. Material changes will be reflected by updating the “Last updated” date above; active engagements are governed by the Terms in effect at the time the SOW was signed.
